Hi All,

I have this problem that I need to setup a company in US in partnership with My friend who is a US Citizen.

My Question is can I do it? If yes what are the procedures.

Will the Indian Government or RBI Regulations allow me to become a partner in the US company?

Secondly I run a company located in Bangalore and is trading for about 1yr 2 months. We are also earning in Foreign Currency.

If I cannot be a partner as an individual, can my company become an investor in this US company?

I know that my company can setup a sales office in US, but I need to know if we can invest into an US based company?

An Indian citizen and resident can certainly become a promoter of an US company / LLC.

Since your Indian company is less than 3 years old it is not yet eligible to invest in foreign company under the automatic route.

You can apply to RBI for approval to invest in foreign company / LLC -either individually or by your company (preferable).

Or set up a 100% subsidiary of your Indian company abroad, route export income thru this subsidiary and then invest in the foreign company from out of this income.

Wholly owned subsidiary abroad approval is easy to obtain.
Export income investment means there is no Fx remittance from India, so no approval required.
